Purchase Options & Subscription Cancellation Policy

This Purchase Options & Subscription Cancellation Policy applies to CELLSHE purchase options, including one-time purchases, subscription purchases, recurring billing, recurring delivery, subscription management, and subscription cancellations.

CELLSHE is operated by IRONVALE OÜ. This Policy supplements our Terms of Service, Terms of Sale, Shipping Policy, Returns & Refund Policy, Privacy Policy, and any subscription terms displayed before purchase and at checkout.

1. Purchase Options

Where available, CELLSHE may offer two purchase options:

(a) One-Time Purchase: a single purchase that is charged once and ships once, and does not automatically renew.

(b) Subscribe & Save: a recurring subscription purchase that automatically renews according to the price, billing frequency, delivery frequency, and terms displayed before purchase and at checkout.

A subscription is created only when you select the subscription purchase option and complete checkout for that subscription.

By purchasing a subscription, you authorize CELLSHE and its payment processors to charge your payment method on a recurring basis at the subscription price and frequency displayed before purchase and at checkout, unless you cancel before the next billing date.

2. Subscription Plans and Monthly Renewal

Unless a different frequency is expressly displayed before purchase and at checkout, CELLSHE subscription plans renew monthly.

At launch, CELLSHE subscriptions are intended to support a consistent monthly supplement routine. Your subscription will automatically renew according to the recurring price, billing timing, and terms displayed before purchase, at checkout, and in your subscription account, unless canceled before the next billing date.

A monthly subscription, monthly plan, monthly billing cycle, or monthly delivery reference describes the recurring subscription cycle. It does not guarantee delivery on the same calendar day each month.

3. Subscription Price Maintained While Active

For an active subscription, the recurring price shown and accepted at checkout is the price maintained for that active subscription, unless the customer changes the subscription, cancels and later re-subscribes, the subscription fails, expires, is terminated, or a correction is required by law, payment processor requirement, technical error, fraud review, or applicable platform rule. Future website price changes apply only to future purchases or newly created subscriptions unless otherwise clearly disclosed and accepted.

CELLSHE does not treat the displayed subscriber price as an introductory price that automatically increases after a certain number of billing cycles unless that conversion is clearly disclosed before purchase.

If a product, plan, bundle, discount, shipping benefit, or fulfillment option becomes unavailable, CELLSHE may cancel, pause, or offer an alternative subscription option, but will not automatically charge you a higher recurring product price without the notice and consent required by applicable law.

4. Billing Timing and Routine Continuity

You are charged at checkout for your first subscription order.

Future subscription orders are billed monthly on the billing date shown in your customer account, subscription portal, subscription email, or subscription interface.

CELLSHE products are designed for consistent daily wellness routines. Because order review, payment authorization, fulfillment processing, product preparation, carrier pickup, transit, and final delivery may take several business days, subscription renewal billing may occur before the end of your current monthly supply period.

This operational lead time is intended to allow the next shipment to be processed and delivered before you run out, reducing the risk of interruption in your monthly routine.

The renewal date shown in your account or subscription portal is a billing and renewal processing date, not a guaranteed delivery date. Delivery estimates remain subject to our Shipping Policy.

You are responsible for reviewing the next billing date shown in your customer account or subscription portal and for canceling, pausing, or modifying your subscription before that billing date if you do not want the next renewal order to be processed.

5. Material Subscription Terms

Before you complete a subscription purchase and before final payment submission, the purchase flow will display or make available the material subscription terms, including where applicable: the selected product, recurring product price, billing frequency, delivery frequency, shipping charges if any, taxes if any, cancellation method, and how to manage the subscription.

Subscription terms may appear on the product page, cart, checkout, subscription widget, checkout subscription disclosure, cancellation policy link, confirmation email, subscription email, customer account, or subscription portal.

6. Express Consent to Recurring Charges

A subscription is created only when you affirmatively select the subscription purchase option and complete checkout.

Subscription consent must not be interpreted from silence alone. One-time purchases do not create a subscription.

By completing a subscription purchase, you expressly authorize CELLSHE and its payment processors to charge your payment method automatically at the recurring price and frequency displayed before purchase and at checkout, unless you cancel before the next billing date.

7. Confirmation Email

After a subscription purchase, you will receive a confirmation email containing material subscription terms applicable to your subscription, including the recurring product price, billing frequency, delivery frequency, cancellation method, and a link or instructions to manage or cancel your subscription.

The confirmation email may also link to the full Subscription Terms, Cancellation Policy, or customer subscription portal.

If a subscription tool, theme, or checkout limitation prevents a specific item from appearing directly in the confirmation email, CELLSHE will use a reasonable alternative method, such as linking to the subscription management portal, order page, or Subscription Terms, while preserving the material terms displayed before purchase and at checkout.

8. Cancellation

You may cancel your subscription at any time before the next billing date through your customer account, the subscription portal, the “Manage your subscription” link in subscription emails where available, or by contacting hello@cellshe.com.

There is no cancellation fee.

Where the subscription portal provides customer self-service cancellation, you may cancel online without speaking to a customer service representative and without completing any process that is materially more burdensome than the process used to subscribe.

Cancellation applies to future renewals only. Canceling a subscription prevents future subscription charges, but it does not automatically cancel, refund, or stop any order that has already been processed, billed, accepted, submitted to fulfillment, prepared, shipped, or delivered.

9. Cancellation Deadline

To avoid the next renewal charge, you must cancel before the billing time shown in your customer account, subscription portal, subscription email, or subscription interface.

Cancellations submitted at or after the displayed billing time may not prevent the next renewal charge.

If a renewal order has already been billed, processed, accepted, submitted to fulfillment, or otherwise entered the fulfillment process when we receive your cancellation, the cancellation will apply to future renewals, and the already-processed renewal may ship as scheduled.

CELLSHE may, at its discretion and where reasonably feasible, attempt to halt an in-process renewal if your cancellation reaches us shortly after the billing time and before fulfillment is locked. No such discretionary attempt is guaranteed.

10. Pauses, Subscription Changes, and Account Management

Depending on the subscription settings available in your customer account or subscription portal, you may be able to pause a subscription, resume a subscription, cancel a subscription, update your payment method, update your shipping address, manage upcoming orders, or change other subscription details.

Certain features, such as skipping, changing frequency, swapping products, or changing product selection, may not be available for all subscriptions, products, bundles, subscription tools, customer accounts, or fulfillment setups. The options shown in your customer account or subscription portal control the self-service changes available for your subscription.

Changes must be completed before the next billing date to apply to the next renewal.

11. Shipping Benefits and Free Shipping Offers

Where a subscription offer displays free shipping before purchase or at checkout, the stated shipping benefit applies to eligible subscription orders under the terms shown before purchase and at checkout.

Free shipping benefits apply only to eligible supported U.S. shipping destinations and do not override CELLSHE’s Shipping Policy, geographic restrictions, carrier limitations, fraud review, address eligibility requirements, or fulfillment constraints.

If an address is unsupported, restricted, incomplete, inaccurate, inaccessible, or ineligible, CELLSHE may hold, cancel, refuse, or refund the affected order or renewal.

12. Address Eligibility

You are responsible for keeping your shipping address complete, accurate, current, accessible, lawful, and eligible before each renewal.

CELLSHE does not ship to California, Alaska, Hawaii, U.S. military bases, APO/FPO/DPO addresses, unsupported U.S. territories, unsupported P.O. boxes, freight forwarders, reshippers, hotels, package redirection services, or addresses that our fulfillment or carrier partners cannot serve.

If your subscription shipping address becomes unsupported, ineligible, incomplete, inaccessible, or restricted, we may hold, cancel, refuse, or refund the affected renewal order.

13. Failed Payments

If payment fails, CELLSHE or its subscription/payment provider may retry the payment or ask you to update your payment method.

If payment cannot be collected, we may pause, suspend, or cancel the subscription.

You are responsible for keeping your payment method current.

14. Renewal Notices and Service Emails

CELLSHE may send renewal reminders, upcoming charge notices, payment-failure notices, shipment reminders, cancellation instructions, subscription-management notices, or required consent requests by email or another permitted electronic method.

Where required by applicable law, subscription law, promotional offer terms, or subscription tool configuration, CELLSHE will send required notices before renewal charges, any expressly disclosed higher-price promotional conversion, or other material subscription events.

CELLSHE may also send service reminders or subscription-management emails even where not legally required.

You are responsible for keeping your email address current and for reviewing the next billing date shown in your customer account or subscription portal.

15. Commercial Guarantees, Satisfaction Offers, and Limited Promotions

From time to time, CELLSHE may display a commercial guarantee, satisfaction guarantee, promotional refund offer, return window, or similar customer offer on the website, product page, checkout, advertisement, FAQ, email, or promotional campaign.

Such offers apply only if they are expressly displayed before your purchase, are active at the time of your order, and apply to the product, order, and customer concerned. The specific terms of the offer displayed before purchase control for the eligible order covered by that offer.

A commercial guarantee or satisfaction offer may include specific conditions, deadlines, refund timing, return requirements, no-return rules, product exclusions, order exclusions, customer cooperation requirements, or abuse-prevention rules.

Unless a specific written offer states otherwise, commercial guarantees and satisfaction offers do not create a permanent refund right, do not apply retroactively to prior orders, and may be changed, paused, removed, or replaced for future orders at any time.

If a specific written promotional guarantee, satisfaction guarantee, or refund offer applies to your order, that specific offer controls only to the extent it is more favorable to you than CELLSHE’s default Returns & Refund Policy and only for the order covered by that offer.

Requesting a refund under a commercial guarantee or satisfaction offer does not automatically cancel your subscription. If you do not want future subscription renewals, you must cancel your subscription before the next billing date.

16. Returns and Refunds

Subscription orders are subject to CELLSHE’s Shipping Policy and Returns & Refund Policy.

Cancellation is not the same as a refund. Canceling a subscription stops future renewals but does not automatically refund previous charges or orders already processed, billed, accepted, submitted to fulfillment, prepared, shipped, or delivered.

Any refund request for an order already processed is handled under CELLSHE’s Returns & Refund Policy and any applicable commercial guarantee, satisfaction offer, written promotion, or legal requirement.

17. No Medical Commitment or Guaranteed Results

A subscription does not create a medical, therapeutic, healthcare, hormone, anti-aging treatment, disease-management, or guaranteed-results program.

CELLSHE products are dietary supplements and are not intended to diagnose, treat, cure, or prevent any disease.

CELLSHE does not guarantee any specific health, wellness, energy, aging, hormonal, cognitive, appearance, physical, or other result. Individual experiences may vary.

18. Record of Consent

CELLSHE may retain records of subscription consent, checkout disclosures, customer account activity, subscription terms, billing events, renewal notices, cancellation requests, refund requests, guarantee claims, chargeback disputes, and related communications for legal, operational, payment, dispute, fraud-prevention, auto-renewal-law, and compliance purposes.
